Terms and Conditions:

1. Authority and Eligibility

Buyer represents and warrants that:

  • Buyer is a business entity or authorized representative legally permitted to purchase and use industrial or specialty chemical products.
  • The individual accepting these terms has full authority to bind Buyer.
  • Buyer is not purchasing Products for personal, household, or consumer use unless expressly authorized in writing by Seller.

2. Assumption of Risk

Buyer acknowledges that chemical products may be hazardous and agrees that:

  • Buyer assumes all risks and liabilities arising from the handling, transportation, storage, processing, use, reuse, and disposal of the Products.
  • Seller shall not be liable for any damages arising from misuse, improper handling, failure to follow instructions, or use outside the stated specifications.

3. Intended Use and Regulatory Compliance

Buyer warrants and agrees that:

  • Products will be used only for their intended industrial, commercial, or research purposes as described in Seller documentation.
  • Buyer will comply with all applicable federal, state, local, and international laws and regulations, including but not limited to:
    • OSHA and workplace safety regulations
    • EPA and environmental protection laws
    • TSCA, REACH, RoHS (if applicable)
    • DOT, IATA, IMDG, and hazardous materials transport laws
    • All waste management and disposal regulations
  • Buyer is solely responsible for determining the suitability of Products for Buyer’s intended application.

4. Safety Data Sheets (SDS) and Hazard Communication

Buyer acknowledges and agrees that:

  • Buyer has received, reviewed, and understands the applicable Safety Data Sheet (SDS/MSDS) prior to use.
  • Buyer will ensure that all employees, contractors, and downstream users are properly trained on hazards, safe handling, storage, and emergency procedures.
  • Buyer will maintain appropriate hazard communication programs, labeling, and personal protective equipment (PPE).

5. Storage, Handling, and Transportation

Buyer assumes responsibility for:

  • Proper storage conditions (including temperature, containment, segregation, and shelf life).
  • Compliance with all applicable hazardous material shipping, receiving, and internal transport requirements.
  • Any repackaging, relabeling, or secondary distribution performed by Buyer.

6. No Resale or Unauthorized Transfer

Unless expressly authorized in writing by Seller:

  • Products are sold for Buyer’s internal use only and may not be resold, redistributed, or transferred to third parties.
  • Buyer shall not rebrand, relabel, or market Products under another name.

7. Restricted and Prohibited Uses

Buyer agrees that Products shall not be used:

  • In food, drug, medical, cosmetic, or consumer applications unless explicitly approved in writing.
  • In any unlawful, prohibited, or regulated application without required approvals.
  • In a manner inconsistent with Seller’s technical documentation or SDS.

8. Disposal and Environmental Responsibility

Buyer agrees to:

  • Properly manage, treat, recycle, or dispose of all wastes, residues, and packaging in accordance with applicable laws.
  • Assume full responsibility for environmental compliance related to Buyer’s use and disposal of Products.

9. Limited Warranty and Disclaimer

  • Seller warrants only that Products conform to Seller’s published specifications at the time of shipment.
  • NO OTHER WARRANTIES APPLY, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  • Buyer acknowledges that technical advice or recommendations are provided without warranty and are used at Buyer’s own risk.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Seller shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or business interruption.
  • Seller’s total liability shall not exceed the purchase price paid for the specific Products giving rise to the claim.

11. Indemnification

Buyer agrees to defend, indemnify, and hold harmless Seller from any claims, damages, losses, fines, penalties, or expenses arising from:

  • Buyer’s handling, use, storage, or disposal of Products
  • Buyer’s failure to comply with laws or this Agreement
  • Downstream use or resale by Buyer or third parties

12. Export Control and Sanctions Compliance

Buyer represents that:

  • Products will not be exported, re-exported, or transferred in violation of applicable export control, trade, or sanctions laws.
  • Buyer is not a restricted or sanctioned party.

13. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the jurisdiction specified in Seller’s Terms and Conditions, without regard to conflict-of-law principles.

14. Acceptance

By clicking “I Agree”, Buyer confirms that they:

  • Have read and understood this Agreement
  • Accept all terms and conditions
  • Agree that this electronic acceptance is legally binding
